CONTEXT:

The intellectual assets technology, brand and operational excellence are key drivers for the value in acquisitions of technology businesses. Intellectual property needs to be combined with a “human factor” in order to create an intellectual asset. That “human factor” make the management (and the acquisition) of intellectual assets so fragile.

An acquisition deal consists of more than the purchase price; it usually also includes the escrow holdback and potential earn outs. This seminar will depict the impact of different intellectual assets on each acquisition deal parameter. We will also discuss how to ensure that your next acquisition of a technology business avoids becoming part of the 70-90% of acquisitions that are abysmal failures, with a special focus on handling the intellectual asset aspect.
